1. Acceptance of Terms of Use and Amendments

This user agreement ("Agreement") is entered into by ShelterHub. ShelterHub and you as a user of the website ("You"), and You acknowledge and agree that the following terms and conditions, including the Privacy Policy posted on this website, shall govern your use of each and every page of this website and the provision of both free and subscription-only information to you by or through the website (the "Service"). ShelterHub reserves the right to revise this Agreement and/or the contents of this website at any time for any reason without notice. You further acknowledge and agree that you will be bound by any such revisions to the Agreement. For this reason, ShelterHub encourages you to periodically visit the website and review the terms and conditions of this Agreement.

ShelterHub reserves all rights afforded by the laws of Canada and of the United States, and specifically reserves its rights, claims, and defenses for any omission from the contents of this notice to users of the ShelterHub website.

2. Fees and Charges
ShelterHub accepts payment for the Service by credit card only. You must provide ShelterHub with current, valid credit card account information at the time that You first subscribe to the Service. ShelterHub will then bill your credit card the total due for the current period, and then bill you at the expiration of each term thereafter on your renewal date (This is either the date you established service on or the first of the month if service was established prior to 1/2/2010). Cancellation of the Service during the Initial Period is non-refundable.

Unless the Service is terminated by You or ShelterHub as further provided in this Agreement, You agree to pay and authorize ShelterHub to charge the credit card You provided in the amount of the then-current term of your subscription cost for the Service on the renewal date of every period following the Initial Period. All Term Accounts renew at the end of their 1-month, 6-month or 12-month term.

3. Termination
After the Initial Term, You may terminate this Agreement at any time by emailing ShelterHub at support@stickywire.com. TheAgentsList will provide an e-mail confirmation of your cancellation to the address You designated when subscribing to the Service. ShelterHub does not accept cancellation by phone, fax or any other means, regardless of whether such cancellation is actually received by ShelterHub. Your cancellation will be effective on the first day following the expiration of your current term immediately preceding receipt of your notice of cancellation is provided herein. ShelterHub will not issue prorated refunds. In the event that you fail to make any payment when due, a transaction on a credit card you provide is denied by the issuer, or You undertake any action or omission in breach or contravention of this Agreement, ShelterHub may immediately and without notice terminate this Agreement with You.

4. Intellectual Property Ownership
All information and content contained on or in any of the ShelterHub websites, including but not limited to text, images, video, audio and data are owned by and proprietary to ShelterHub, its vendors and/or licensors and are protected by applicable copyright, trademark and trade secret laws. All rights not expressly granted by this Agreement are reserved solely to ShelterHub, its vendors and/or licensors. Except as otherwise specifically stated in this Agreement, You may not duplicate, display, distribute, sell, resell, reverse engineer, disassemble, decompile, make derivative works, or other use the information or content of this website. Any unauthorized use by you may subject you to penalties or damages. ShelterHub will enforce its intellectual property rights to the full extent of the law. Your subscription to the Service is for your own use, and any sharing of your account information, login, passwords, or the information, content and data provided by the Service, with any other person, firm or entity is strictly prohibited. ShelterHub reserves the right, and You hereby authorize ShelterHub, to charge your credit card an additional monthly fee for every instance in which Your account information, login, passwords, or the information, content and data provided by the Service is used by someone other than You as a consequence of Your violation of this policy.

5. Use of ShelterHub
A user may not use ShelterHub for any purpose that is prohibited by any law or regulation, or to facilitate the violation of any law or regulation. You may not use the ShelterHub web sites or any of its content for competitive reasons nor may you resell or redistribute ShelterHub content without prior express written consent of management at ShelterHub. The user of the ShelterHub websites may not attempt to use any "deep-link," "scraper," "robot," "bot," "spider," "data mining," "computer code" or any other automated device, program, tool, algorithm, process or methodology or manual process having similar processes or functionality, to access, acquire, copy, or monitor any portion of the ShelterHub web sites, any data or content found on or accessed through the ShelterHub web sites without prior express written consent of management at ShelterHub. You may not use the ShelterHub web sites to obtain or attempt to obtain through any means any materials or information on the ShelterHub web sites that has not been intentionally made publicly available either by public display on the ShelterHub web sites or through accessibility by a visible link on the ShelterHub web sites. You may not use the ShelterHub web sites in a manner that would violate the security of the ShelterHub web sites or attempt to gain unauthorized access to the ShelterHub web sites, data, materials, information, computer systems or networks connected to any server associated with the ShelterHub web sites, through hacking, password mining or any other means. The user of the ShelterHub web sites may not impersonate any person or entity, or falsely state or otherwise represent an affiliation with a person or entity. The user of the ShelterHub web sites may not interfere with, attempt to interfere with or otherwise disrupt the proper working of the ShelterHub web sites, any activities conducted on or through the ShelterHub web sites or any servers or networks connected to the ShelterHub web sites, including accessing any data, content or other information prior to the time that it is intended to be available to the public on the ShelterHub web sites. ShelterHub reserves the right to limit the number of projects, contacts and companies that can be viewed during any given time period. ShelterHub reserves the right to validate business authenticity as needed or required to support proper use of the ShelterHub product.

7. Cookie Disclosure What's a cookie?
A cookie is a piece of data stored on the user's computer tied to information about the user. Usage of a cookie is in no way linked to any personally identifiable information while on our site. We use both session ID cookies and persistent cookies. For the session ID cookie, once users close the browser, the cookie simply terminates. ShelterHub uses cookies to check our database to verify your subscription so you can gain access. By setting a cookie on our site, users would not have to log in a password more than once, thereby saving time while on our site. We also use cookies to save your preferences. Without cookie technology, we would not be able to offer you convenient features such as your saved preferences and searches.

Deleting cookies means that you may be locked out of your account and lose your preferences. There are a number of software and shareware programs available that are designed to periodically purge cookie files from your hard disk. We do not recommend these applications and, as such, cannot address any resulting support issues that may be related to the use of these programs.

7. No Confidentiality or Use of Limitations for Submitted Information
You acknowledge and agree that any communication or material you transmit to this website, in any manner and for any reason, will not be treated as confidential or proprietary information and that any communications, or other materials you transmit to this website may be used by ShelterHub for any reason whatsoever at any time without notice to you. You further acknowledge and agree that if ShelterHub decides, in its sole discretion, to use or revise the materials, we may do so through reproduction, transmission, publication, and/or broadcast without permission from or compensation to you.

8. Secure Server Pages, Online Application Pages
Some of the pages requiring information are certified as Secure Sockets Layer (SSL) pages as designated. ShelterHub appreciates the importance of providing a secure environment on its website for the purpose of providing credit card information to process orders and applications, and will take all reasonable and customary steps to protect the information You provide. Please use all means to protect your personal information, particularly if you are using a shared computer. Supporting documents and disclaimers necessary for submission of applications which appear on this site may be supported by other documents requiring a signature. In such event, the signed document shall prevail, and the documents and disclaimers appearing on the website shall be incorporated into the signed document. In the event there is any contradiction in terms between the online document and the subsequent signed document, the conflicting term(s) shall be resolved by relying on the document which is actually signed. Applications submitted on this website are considered "pending acceptance and approval" and are not complete until a confirmation of approval and acceptance has been sent by ShelterHub. In the event an application cannot be accepted, any payment made shall be refunded or credited to the credit card account within a reasonable period.

9. Use of the Site at Own Risk
You acknowledge and agree that your use of the website and of the Service is at your own risk and that neither ShelterHub nor any other party involved in creating, producing, or delivering this website, including the content and information contained in this website, is liable for any direct, indirect, incidental, consequential or punitive damages, or any losses, costs or expenses of any kind (including attorney's fees, and/or other fees or expenses ) which may arise, directly or indirectly, through the access to, the use of, or the browsing in this site or through your downloading of any materials, text, data, images, video or audio from this website, including but not limited to anything caused by any viruses, bugs, human action or inaction of any computer system, phone line, hardware, software or program malfunctions, or any other errors, failures or delays in computer transmissions or network connections, or the failure of any Internet service provider.

10. No Warranty of Accuracy of Information
You acknowledge and agree that while ShelterHub will make reasonable efforts to ensure that the content and information provided by the Service is correct and that even though the schedules, times, locations, entertainers, speakers, performers, and other information contained in the ShelterHub websites are based upon current information, ShelterHub cannot and does not guarantee the accuracy of the information and makes no warranties or representations as to its accuracy. 11. Indemnification
You agree to indemnify and hold harmless ShelterHub, its officers, directors, agents and employees against any asserted claims or suits made by any third party for any and all damages, losses, judgments or liabilities (including but not limited to reasonable attorneys' fees) arising from or relating to: (i) any actual or alleged breach of this Agreement by You (ii) any content, data or material that you submit, post or otherwise provide to ShelterHub or on this website.

12. Unlawful Content and Behavior
You acknowledge and agree that you will not post or transmit to this website any pornographic, obscene, profane, defamatory, libelous, threatening, unlawful or other materials which could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law or regulation. Notwithstanding the fact that ShelterHub or other parties may be involved in creating, producing or delivering this website, may monitor or review transmissions, postings, or discussions, ShelterHub assumes no responsibility or liability which may arise from such content, including but not limited to claims for defamation, libel, slander, obscenity, pornography, profanity or misrepresentation.

13. Links to Other Websites
You acknowledge and agree that although this website may be linked to other websites, ShelterHub neither directly nor indirectly expresses or implies any approval, association, sponsorship, endorsement or affiliation with the linked website, unless otherwise specifically stated in this website. ShelterHub has not reviewed all websites linked to this website, is not responsible for the content of any other website linked to this website, and makes no representations or warranties whatsoever as to the content or information contained on such websites. Any use of links by You to any other websites is at your own risk.

14. Application of Laws
You acknowledge and agree that although the information and materials on the ShelterHub websites may be read throughout the world, this website is designed and intended for use in Canada and the United States and use of this website by You will be construed and evaluated according to the laws of the United States and Canada. If You access this website from another country, You are responsible for compliance with any and all applicable local laws. If the information and materials in the website do not conform to the laws of the country where You access the website, the information is not meant for You. ShelterHub makes no representation that the information and materials contained in this website are appropriate outside the United States and Canada. You agree that in the event that any dispute arises under this Agreement or your other use of this website or the Service, the laws of the Province of Ontario, Canada shall apply without resort to its choice of law provisions or rules. You also agree to submit to the personal jurisdiction of the province of Ontario, Canada and further agree that the provincial courts located in Toronto, Ontario shall be the exclusive venue for the resolution of any dispute between ShelterHub and You.

15. Entire Agreement
This Agreement is the entire agreement and supersedes and cancels all previous written and oral agreements and communications relating to the subject matter of this Agreement.

16. No Waivers
No failure to exercise, and no delay in exercising, on the part of either party, any privilege, any power or any rights hereunder will operate as a waiver thereof, nor will any single or partial exercise of any right or power hereunder preclude further exercise of any other right hereunder. No waivers or amendments shall be effective unless made in writing and signed by a duly authorized representative of ShelterHub.

17. Severability
If any part of this Agreement shall be adjudged by any court of competent jurisdiction to be invalid, such judgment will not affect or nullify the remainder of this Agreement.
